Chacha Mairo is a Partner and our Head of Aviation, Capital Markets and M&As practice. Chacha has proven legal and practical experience in financing, leasing, and registration of interests in Aircrafts and high value-aviation assets in national and international registries. Chacha is considered a multi-jurisdictional authority in structuring, issuing, listing and the regulation of securities (products and services such as corporate bonds, green bonds, commercial papers, shares, units e.tc) and
strategies of short- and long-term capital mobilization arrangements. Appreciating how sensitive and rewarding a financial market can be (a crankshaft of Nation’s economy); Chacha advice on continued listing obligations, disclosures, publication, and notifications requirements in connection with listed securities with relevant Governmental bodies. Chacha has proven track in Mergers and Acquisitions and all forms of change in control. He advises establishments entry, exit and combinations which includes conducting red flags legal and tax due diligence, legal and tax health checks, transaction structuring, planning, drafting of operative and corporate documents and securing all regulatory approvals, consents, and authorizations from relevant Governmental bodies.
Other than, being a practice head in the above areas, Chacha also possess sizeable experiences in taxation, telecommunication, general business law, extractives, and financial regulation. A: Aviation
- Lead Partner (as Local Counsel) in the purchase and structuring ownership for registration and financing in the United States of America of four (4) Textron Aviation Inc. Model 208B Grand Caravan EX Aircraft to the Financier (State of New York and Delaware) and the Owner, (State of Utah).
- Lead Partner (as Local Counsel) in the importation, leasing, and registration in the United Republic of Tanzania of four (4) Textron Aviation Inc. Model 208B Grand Caravan EX with the Tanzania Revenue Authority, Tanzania Civil Aviation Authority, the Registrar of Documents, and the Bank of Tanzania.
- Lead Partner (as Local Counsel) in the registration of four (4) Textron Aviation Inc. Model 208B Grand Caravan EX with the International Registry of Mobile Assets pursuant to the provisions of the Cape Town Convention and Protocol.
- Advice on stamp duty liability in respect of sale of a Helicopter situated in Tanzania Mainland by the buyer and seller who are outside Tanzania Mainland in respect of the Sale Agreement and the Warranty Bill of Sale under Tanzanian law.
B: Capital Markets and Securities
- Lead Partner in advising the structuring and issuance of a five-year Medium Terms Notes (Corporate Bonds) of TZS 300 Billion for the National Bank of Commerce Limited (NBC Twiga Bond), with the first Trache oversubscribed.
- Lead Partner in advising the structuring and issuance of a five-year Medium Terms Notes (Corporate Bonds) of TZS 100 Billion for Azania Bank Public Limited.
- Lead in advising Vodacom Tanzania PLC in the acquisition of 100% issued capital in Smile Communications Tanzania and securing all regulatory approvals/consents including the Capital Markets and Securities Authority and the Dar es Salaam Stock Exchange PLC.
- Lead in Advising Telecommunication (Fibre and Tower companies) and Mining Companies in respect of the compliance obligations on Mandatory listing requirements with the Dar es Salaam Stock Exchange for holders of Special Mining Licences and Mining Licence holders and Network facilities and Netwok Services Licence.
- Advising a listed company in respect of requirements mandatory offer on its contemplated acquisition of around 70% stock in another listed company pursuant to the terms of the Tanzanian capital markets and securities legislation.
- Lead in advising VTPLC on continued listing obligations in terms of substantial transactions to undertake pursuant to the DSE PLC Rules.
- Advising an International Bank on repurchase markets (“REPO markets”) issuance and trading of Notes, its regulation in Tanzania, red flags, and regulatory mandates of the Bank of Tanzania and the CMSA.
- Advising a Mauritian based Investment Company on cross listing requirements and restrictions on foreign portfolio investments in Tanzania under the Applicable Laws.
C: M&As
- Lead Partner (Local Counsel) in providing a red flag due diligence report, legal opinions drafting all transactional documents, obtaining all Tanzanian regulatory approvals, closings, and registration of stocks in VTPLC acquisition of Smile Communications Tanzania Limited.
- Advising Vodacom Group South Africa in the acquisition of 26.2% shares in VTPLC owned by Mirambo Limited and traded in the Dar es Salaam Stock Exchange PLC.
- Advising RAK Gas LLC on the change in control in its Tanzania and Zanzibar entities and assets following the restructuring of its entities in the UAE. The legal advice involves the change in control provisions under the Oil and Gas legislation and PSA’s, the tax legislation, and the competition legislation in Tanzania Mainland and Zanzibar.
- Providing a red flag due diligence report and advising a multi-national company in mid and downstream petroleum sector in respect of transfer of line of business (depot storage facilities) to a newly established company for efficiency reasons in Tanzania Mainland and Zanzibar.
Other Proven Experience(s)
- Providing dozens of legal opinions to entities from several jurisdictions on income tax, VAT, excise duty, import duty and stamp duty liability in respect of various arrangements in the Tanzania Mainland and Zanzibar.
- Successful representations of entities and individuals in respect of tax and commercial matters before judicial and quasi-judicial bodies in the United Republic of Tanzania.
- Advising telecommunication companies on legal, regulatory and tax issues in establishing and operation of Fibre and Tower Companies in the United Republic of Tanzania.
- Conducting tax and legal health checks for various business organizations and non-profit organizations to bolster their legal and regulatory compliances.
- Providing several legal opinions to Telecommunication companies in respect of the compliances expected from the Tanzanian Personal Data Protection Act, unauthorized use of personal images in business and public events, maintaining Application Programming Interface and Personal Identification Information, limitations on disclosure and Transborder flow of personal data outside the United Republic of Tanzania.
- Advising entities on foreign exchange restrictions in respect of corporate guarantees, outward portfolio investments and registrations of Foreign Credit Accommodation (lease, loan, and guarantee) with the Bank of Tanzania.
