Butogwa Eliezer Mbuki is a Partner and our Banking and Financial Institutions & Corporate Financing practice. Butogwa has diligently undertaken several assignments in relation to drafting financing agreements as well perfection of the finance agreements in several platforms such as with the registrar for documents, registrar for BRELA as well as the Commissioner for Lands and other respective platforms. Butogwa has meticulously been of aid to several local and multinational clients in providing tailored advice with regards to corporate structuring as well as corporate financing in ensuring that the clients are well covered both legally and financially.
Other than, being a practice head in the above areas, Butogwa possessed eminent experience in court litigation for her clients in all courts of law and other adjudicative bodies. She has been trained for assisting clients in reaching at an amicable settlement by the Tanzania Institute of Arbitrators as well as the National Construction Council and has been registered with the Ministry for Legal Affairs as an Arbitrator, Mediator, Conciliator and Negotiator which adds an added value to her legal skills in court corridors and outside the court corridors. She also holds experience in other areas of law such as taxation, litigation, business law, conveyancing, probate and administration of estates and telecommunication.
Butogwa is passionate in undertaking legal aid to clients who are not able to afford legal fees and is of assistance in ensuring that they get access to justice timely.

Notable Experience(s)
A: Corporate Financing, Banking and Financing Arrangements
- Lead Partner (as Local Counsel) in the corporate financing of a telecommunication company which was finance by a local bank on a loan to a tune of USD Eight Billion, Three Hundred and Seventy-Five Million, Seven Hundred and Seventy-Nine Hundred (8,375,779.00).
- Assisted several prominent commercial banks in the United Republic of Tanzania in preparing several crucial finance documents for corporate financing to growing businesses in the United Republic and multinationals.
- Took part in advising a prominent bank on the recourse to be taken upon recovery of a sum of money that was taken from the Bank via an Agency Notice issued by TRA.
- Advising a financial institution in undertaking a sharebuy back transaction as part of exit of two of it’s members.
B: Capital Markets and Securities
- Took part in the team advising the structuring and issuance of a five-year Medium Terms Notes (Corporate Bonds) of TZS 300 Billion for the National Bank of Commerce Limited (NBC Twiga Bond), with the first Trache oversubscribed.
- Took part in the team advising the structuring and issuance of a five-year Medium Terms Notes (Corporate Bonds) of TZS 100 Billion for Azania Bank Public Limited.
- Took part in advising Vodacom Tanzania PLC in the acquisition of 100% issued capital in Smile Communications Tanzania and securing all regulatory approvals/consents including the Capital Markets and Securities Authority and the Dar es Salaam Stock Exchange PLC.
C: Corporate & Taxation
- Took part in assisting in the incorporation of a fibre company and data centre in the United Republic of Tanzania Mainland and Zanzibar as well as assisting in security the necessary Network Facility Licence and other permits for the operation of the business in the United Republic of Tanzania.
- Undertaking a tax health check for a multinational consultancy company (branch) which was seeking to ascertain it’s tax exposure before liquidation of the Branch.

- Providing dozens of legal opinions to entities from several jurisdictions on income tax, VAT, excise duty, import duty and stamp duty liability in respect of various arrangements in the Tanzania Mainland and Zanzibar.
- Successful representations of entities and individuals in respect of tax and commercial matters before judicial and quasi-judicial bodies in the United Republic of Tanzania.
- Providing several legal opinions to Telecommunication companies in respect of the compliances expected from the Tanzanian Personal Data Protection Act, unauthorized use of personal images in business and public events, maintaining Application Programming Interface and Personal Identification Information, limitations on disclosure and Transborder flow of personal data outside the United Republic of Tanzania.
